Foresight 5 VCT plc ("the Company") 
Result of General Meeting 
 
 
The  Board of Foresight  5 VCT plc are  pleased to confirm  that the resolutions 
proposed  at the General Meeting of the Company held today, 15 August 2011, were 
all duly passed as special resolutions on a show of hands, as follows: 
 
Resolution 1 - to approve the disapplication of pre-emption rights in respect of 
the allotment of ordinary shares in connection with the Shareholder Offer as set 
out in the circular to shareholders of the Company dated 22 July 2011. 
 
Resolution 2 - to approve the cancellation of the share premium account. 
 
Resolution 3 - to approve the cancellation of the capital redemption reserve. 
 
As  a  result  of  the  passing  of  Resolution  1, the  Board  confirm that the 
Shareholder  Offer is now,  subject to the  Prospectus Rules, unconditional. The 
Shareholder  Offer has been well received and  more than 65% of the offer shares 
available  under the Shareholder Offer have  already been applied for as advised 
at  the General Meeting.  Shareholders are, therefore,  reminded that the latest 
time  and date for receipt  of completed application forms  is 12.00 noon on 19 
August 2011 (unless extended at the discretion of the Board). 
 
Details  of proxy votes lodged  before the meeting will  be available shortly on 
the website of Foresight Group,www.foresightgroup.eu. 
 
A  copy of the resolutions  will be submitted to  the National Storage Mechanism 
and will shortly be available for inspection atwww.hemscott.com/nsm.do.
