GNE Group plc (AIM:GNE) confirms that all resolutions put to the shareholders at 
the Company's Annual General Meeting held earlier today were duly passed. 
Resolution 5 relating to a consolidation of the Company's share capital was not 
put to the shareholders and was withdrawn with the consent of the meeting. 
 
The Company also announces that, at the reconvened General Meeting which took 
place immediately following the Annual General Meeting, all of the resolutions 
were withdrawn with the consent of the meeting. 
 
Ian Falconer, Finance Director, David Port, Non-executive Chairman, and Jimmy 
West, Non-executive Director, have stepped down.  Martyn Ratcliffe has been 
appointed Executive Chairman of GNE. These changes are with immediate effect. 
 
 
At the Annual General Meeting a resolution was passed by shareholders for the 
cancellation of admission to trading on AIM of the New Ordinary Shares. 
Cancellation of admission to trading on AIM of the ordinary shares will take 
effect at 7.00am on 12 May 2009. Accordingly 11 May 2009 will be the last day of 
trading on AIM of the New Ordinary Shares.
