GCP Sovereign Infrastructure Debt Limited (the "Company")

Outcome of Strategic Review

Further to the Company's announcement on 12 June 2014 that it would be undertaking a strategic review of its options, the Company's advisers have consulted with shareholders representing c. 92 pct of its voting rights.

Taking into account feedback from such shareholders, and advice from the Investment Adviser, Gravis Capital Partners LLP ("GCP"), and the Company's financial adviser, Cenkos Securities plc, the Board has decided to put forward a proposal for a winding up of the Company and cancellation of the trading of its shares on the Specialist Fund Market of the London Stock Exchange (the "Proposal").

GCP has indicated that, subject to the Proposal being approved by shareholders, it will make a cash contribution to the Company equal to the sum of (a) the costs incurred at IPO (net of any rebates made to qualifying investors in accordance with the IPO prospectus) and (b) the net ongoing running costs of the Company since IPO, including costs associated with the implementation of the Proposal.

A circular setting out the details of the Proposal will be posted to shareholders in early July.
