                    HEYWOOD WILLIAMS GROUP PLC ("the Company")

Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 22 October 1999 Mr Bryce acquired 1110 ordinary
shares of 25p each in the Company at a price of 250p per share.

Following this purchase Mr Bryce is interested in a total of 34,571 ordinary
shares.
