                 HEYWOOD WILLIAMS GROUP PLC ("the Company")

Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
PLC, it is announced that on 23 April 1999 Mr Bryce acquired 943 ordinary shares
of 25p each in the Company at a price of 266p per share.

Following this purchase Mr Bryce is interested in a total of 28,370 ordinary
shares.
