ISSUE OF EQUITY


The company has issued and allotted, subject to admission, 5,000,000 new
ordinary 0.1p shares at par to Teather & Greenwood Limited ("Teather & Greenwood
").

As a result of this notification, Teather & Greenwood owns a total holding of
the enlarged issued class of 5,000,000 which represents a total percentage
holding of 8.90%.

The new ordinary shares will rank pari passu with the existing ordinary shares
of the Company.  Trading is expected to commence on AIM on 4 April 2005.
