Results of the
Annual General Meeting held on Tuesday, 19
September 2017
Statement from the Board
In the Chairman’s Statement of the Company’s annual report for
the year ended 30 April 2017, the
Chairman undertook to initiate a board refreshment process.
At the Company’s AGM held today, the Chairman reported to
shareholders that the Board has appointed Trust Associates, a
director search agency, to assist with the search for a new
Chairman and Audit Committee Chairman. Therefore, Mr Townsend
(Chairman) and Mr Fox (Audit Committee Chairman) hereby announce
their intention to retire from the Board early next year, after a
suitable handover period. The effective date of their
retirement will be confirmed in due course. The Board will
keep shareholders informed of the progress of the recruitment
process.
Annual General Meeting
The Board is pleased to announce that at the AGM held today, all
resolutions as detailed below were duly passed by shareholders on a

Any proxy votes which are at the discretion of the Chairman have
been included in the "for" total. A vote withheld is not a vote in
law and is not counted in the calculations of votes cast by
proxy.
At the date of the AGM the total number of Ordinary shares of 1p
each in issue and the total number of voting rights was
25,279,985.

In accordance with Listing Rule 9.6.2, the full text of the
special business resolutions passed have been submitted to the
National Storage Mechanism and will shortly be available for
inspection at http://www.morningstar.co.uk/uk/nsm. The
special business resolutions will additionally be filed at
Companies House.
