MasMovil offer to acquire Euskaltel

The Company notes the announcement made by Zegona Communications plc ("Zegona"), an indirect investment of MVIL, in relation to the launch of a tender offer by a wholly-owned subsidiary of MasMovil Ibercom, S.A.U., to acquire the entire issued share capital of Euskaltel, S.A., Zegona's Spanish telecommunications investment, for EUR11.17 per share in cash (the "Offer").

The Marwyn funds collectively hold 42,062,035 Zegona ordinary shares, of which, as at 12 March 2021 (being the latest available published Net Asset Value information), 30,152,250 are attributable to the Company's ordinary shareholders (representing 13.77% of Zegona's issued share capital) and 4,437,973 are attributable to the Company's realisation shareholders (representing 2.03% of Zegona's issued share capital).

At this stage, there is no assurance that the Offer will complete, nor in the event that the Offer does complete, that Zegona will distribute any proceeds to their shareholders. Accordingly, the quantum (net of fees, costs and any Zegona management incentive liability) that may be received by the Marwyn funds (if any) as a result of the Offer cannot currently be established.
