Shareholding
Following the announcement on 3 November
2016 of the conversion of Martin
Ward and Stephen Oakley’s interests in 6,940,606 and
3,470,304 B Shares respectively under the B Share Incentive Scheme
on a one-for-one basis to the same number of Ordinary Shares in the
Company, the Company yesterday received notification that
Martin Ward and Stephen Oakley had sold 4,000,000 and 2,000,000
Ordinary Shares respectively in the market at a price of
170 pence per share.
As a result of these transactions, Martin Ward and Stephen Oakley’s interests
(including family interests) in the Ordinary Shares of the Company
are as follows:

The Company’s capital consists of 303,959,703 ordinary shares of
0.1 pence each in issue, each with
voting rights. This figure (303,959,703) may be used by
shareholders in the Company as the denominator for the calculations
by which they will determine if they are required to notify their
interest in, or a change to their interest in, the share capital of
the Company under the Financial Conduct Authority's Disclosure and
Transparency Rules.
