                  Reflex Group plc ("Reflex" or "the Company")

Application has been made to the London Stock Exchange for 24,999,500 New
Ordinary Shares of nominal value Euro0.06 each in the capital of the Company to be
admitted to trading on the Alternative Investment Market of the London Stock
Exchange. These shares rank pari passu in all respects with the existing
Ordinary Shares of the Company. Dealing is expected to commence in these shares
on 4 May, 2004.

These Ordinary Shares have been allotted pursuant to the acquisition of Fitness
& Leisure Group (Holdings) Limited ("FLG") in September 2001. It was a term of
the acquisition that up to 25,000,000 Ordinary Shares would be issued to the
vendors of FLG in the event that the aggregate deferred consideration received
by Reflex in respect of the disposal by Reflex of First Rental Limited ("FRL")
was less than Stg#900,000.

FRL has gone into administration without making any deferred consideration
payments and thus the arrangement outlined above has been effected.

The issue of these Reflex Ordinary Shares will be made to the vendors of FLG,
including individuals who are current Directors of Reflex. Details of existing
and new Directors holdings following the issue and allotment of these shares is
outlined in the table below;
