Announcement regarding Proposed Offer 
 
 
The Board of Spazio announces that it has received a firm intention from a 
vehicle controlled by Laxey Partners Limited to make an all cash offer at EUR4.50 
for the ordinary shares in the Company not already owned or controlled by Laxey 
Partners Limited. 
 
 
A Special Committee of the Independent Directors of the Board that has been 
formed to review the proposed offer considers that the offer price materially 
undervalues the Company. Further announcements will be made as appropriate. 
 
 
Spazio is not subject to the City Code on Takeovers and Mergers. 
 
 
In accordance with the Company's Articles of Association, the Company confirms 
that is has 27,491,295 ordinary shares of EUR0.20 in issue and admitted to trading 
on the London Stock Exchange under the ISIN code of NL0000686319.
