Total Voting Rights and Capital

In conformity with the FCA's Disclosure Guidance and Transparency Rules ("DTRs") - DTR 5.6.1, we hereby notify that the Company's issued share capital consists of 23,682,995 ordinary shares of 10 pence each, each carrying one voting right. The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in the Company which may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs, is 23,682,995.

The voting rights disclosed in this announcement reflect the completion of the Company's tender offer, which closed on 7 April 2017 and the results of which were announced earlier today.
