transferred, with no further beneficial interest, 36,190 shares of Common
Stock of $0.01 each to various members of his family and certain other
unconnected persons reducing his beneficial holding to 2,631,633 shares of
Common Stock, representing 11.3% of the issued share capital of the Company.
