Notice of General Meeting

Weatherly announces that notice (the "Notice") of a General Meeting (the "GM") to be held at the offices of Morrison & Foerster (UK) LLP, CityPoint, One Ropemaker Street, London, EC2Y 9AW on 19 February 2013 at 2.00pm has been posted to shareholders.

The GM is being held to consider and, if thought fit, to approve the amendment of the Company's Articles of Association in order to increase the borrowing limits that they contain to accommodate the debt necessary to complete the Tschudi Project debt financing. Weatherly is also taking this opportunity to seek approval for the disapplication of pre-emption rights in respect of up to 10 per cent. of the current issued share capital of the Company.
