                            DIRECTORS' SHAREHOLDINGS


Following the approval of the resolutions at the Company's Extraordinary General
Meeting ("EGM") held on 1 September 2003, on 14 October 2003, the Company
granted the following share options:-

* Kevin Appleton, Chief Executive of the Company, was granted
  options over 200,000 Ordinary Shares of 1p each ("Ordinary Shares").

* Alan Merrell, Finance Director to the Company, was granted
  options over 93,590 Ordinary Shares. In addition, Mr Merrell has surrendered
  options held over 169,231 Ordinary Shares and in return, has received a new
  grant of options over 56,410 Ordinary Shares.

The options granted to Kevin Appleton and Alan Merrell have been made under the
Company's Unapproved Executive Share Option Scheme and are exercisable at a
price of 150p per Ordinary Share between 14 October 2006 and 14 October 2010.

Following these grants, Kevin Appleton and Alan Merrell hold options over
525,123 and 250,000 Ordinary Shares respectively, representing 1.4% and 0.7% of
the Company's issued ordinary share capital.
