Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On January 16, 2024, Dennis Meteny announced his intention to retire and resign from his position as a member of the Board of Directors (the
“Board”) of AngioDynamics, Inc. (“AngioDynamics” or the “Company”) and as a member of the Compensation Committee and chair of the Audit Committee, effective January 31, 2024. Mr. Meteny has served as a member of the Board since 2004 and his decision
to retire and resign was not the result of any disagreement between Mr. Meteny and the Company on any matter relating to the Company’s operations, policies or practices.
At this time, the Board does not intend to appoint a new director to fill the vacancy created by Mr. Meteny’s retirement and resignation, reducing
the size of the Board to 8 directors.
