Item 8.01
Other Events.
 
On November 28, 2023, Avinger, Inc. (the “Company”) requested and was granted a hearing before the Nasdaq Hearings Panel (the “Panel”), which hearing has been scheduled for March 14, 2023. The Company’s request for a hearing stayed any further action by The Nasdaq Stock Market LLC (“Nasdaq”) with respect to the Company’s listing at least until the hearing is held and any extension that may be granted by the Panel has expired. At the hearing, the Company will request the continued listing of its securities on Nasdaq pursuant to an extension to regain and sustain compliance with the applicable minimum $2.5 million stockholders’ equity requirement for continued listing on The Nasdaq Capital Market, as set forth in Nasdaq Listing Rule 5550(b)(1) (the “Equity Rule”). The Company is taking definitive steps to ensure its compliance with the Equity Rule and all other applicable criteria for continued listing on Nasdaq. There can be no assurance, however, that the Panel will grant the Company’s request for continued listing or that the Company will evidence compliance within any extension period that may be granted by the Panel.
