Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 3, 2023, Dr. Ryan Phan notified Aspira Women’s Health Inc., (the “Company”), of his intent to resign as Chief Scientific and Operating Officer of the Company effective September 15, 2023. The Company expects Dr. Phan to enter into an advisory agreement on scientific and operational matters related to ongoing product development programs.
