The Company was advised today that on 1 December 2003 SJ Davies, a Director of
the Company was involved in the following Share transactions:



1.        The exercise of 5,000 Share Options under the Gleeson Group Executive
Share Option Scheme (1991) at an exercise price of #5.70 per share.

2.        The gift of 2,500 of the shares so acquired to his spouse Mrs IV
Davies.

3.        The sale of 1,175 shares held in his own name and 1,120 shares held by
his Spouse at a price of #12.475 per Share.
