Exercise Agreement dated effective March 19, 2008 between the Issuer
and Vanadium International Co. (the "Optionor", Dennis La Prairie)
whereby the Issuer agreed to acquire a remaining 50% interest (for a
total 100% interest) in certain mining claims located in Nye County,
Nevada. Under the original Option Agreement dated April 25, 2005, there
is a remaining cash payment obligation of $175,000 which the Issuer has
satisfied by the issuance of 175,000 shares to the Optionor.
For the remaining 50% interest, the consideration payable to the
Optionor is the issuance of 1,995,600 common shares (at a deemed price
of $1.00 per share) to satisfy the purchase price of US$2,000,000. The
Optionor will retain a net smelter return royalty of 2.5%.

shares or $2,000,000 in cash in accordance with the following
performance milestones; 1,000,000 common shares (or $1,000,000 cash)
upon completion of a feasibility study; and 1,000,000 common shares (or
$1,000,000 cash) upon commencement of commercial production.
The Optionor will retain a 2% net smelter return royalty.
