Honesty… No one knows for sure.

While my discussion about the case being only Filed and waiting for its initial Preliminary Hearing Date was 100% factual and undeniable.
Trying to figure out what Frank will do next is simply speculation.

Betting Odd’s are; this is settled before it goes to Trial.
For him to settle he would need cash to repay what he took and the fines.
It’s in his interest to either get profit from selling the shells or actually put a profitable company in them.
He may be forced to sell his home purchased with these funds.

Then again the SEC might want to make an example of him and not accept a settlement, tho this doesn’t happen often, it does happen.
In that case he would need to sell and or transfer ownership of the shells with new directors/ceo before the hearing and or trial as the judge can place restrictions on his actions, since the judge can if he choose to restrict Frank as early as the Preliminary Hearing.
Much of this can depend on what his plea will be and/or his defence.

Worst case, they bar him from ownership/officer/director/ceo of any corp/shell which would force his hand in transferring “to a friend” or out right selling them to a new CEO and Owner for profit… and he may be unsuccessful at either and they could all go dark/defunct. Which would also be terrible for him as he needs the money!

It’s in his better interests to settle, transfer or sell. Going dark would bring him to bankruptcy.

Again… all speculations using logic, we’ll know more as the case develops and if we see any year end filings.

The judge was appointed quickly and then re-assigned! About 1 week after fillings… no court cases are heard for judgement in such speedy times!
All we have here are court filings and we are waiting for the preliminary hearing.

From those Waiver of Services filed if Frank and Co signed them it will show he is cooperating and this would give a very slight indication that we could see a settlement, tho that is pure speculation of previous cases and history with SEC

There are to many court cases filed daily to even mention, at this time all this is, is a filing.

Hence no restrictive actions have been taken on the companies owned by Frank or Frank himself… yet! lol

For that to happen he would need to lose in court and we are far from that date happening, quite a bit can happen between now and then.

There is a possibility that at the preliminary hearing the judge orders Frank and his companies to be restricted… there is a possibility he comes to an agreement with the SEC and the court will never have to see the case with jury.

There are many factors at play but the one that is currently 100% true is that all we currently only have is a filing.. hence no restrictive actions as of yet.

Agree. We don't know what Frank is going to do about the SEC court case. Nor do we know anything about his current financial situation. We know nothing about how much money he may have made selling shares of the 30+ shells that he owned back in 2021 and 2022.

He no doubt made lots of money back in those days and likely up to the present time. However, depending on how the current court case goes and what penalties might eventually be proposed he could be hamstrung in his OTC market activities. I'm sure he is being closely watched currently and who knows what he can still do with the shells he currently still owns. I sure don't know.

Just check out the "RELIEF REQUESTED" section (pages 22-24) of the court document. For example, relief V says: Ordering that Igwealor and Ogbozor be permanently prohibited from serving as an officer or director of a public company.... and relief VI says: Ordering that Igwealor, Alpharidge and American Community Capital be permanently prohibited from participating in any offering of a penny stock, including engaging in activities with a broker, dealer, or issuer for purposes of issuing, trading, or inducing or attempting to induce the purchase or sale of any penny stock....

In light of all these accusations and possible trial by jury which would and should render him incapable of being a director or president of any penny stock or corporation… he should definitely step down and/or sell the shell.

I think he wont have a choice anyways since he’ll need to repay the 2.2M he fraudulently acquired.
