(the "Notes").



NOTICE:

The Issuer wishes to announce that Paragraph 27(vii)(a) of the Applicable
Supplement in the Securities Note for Series 2006-8 (approved on 10 October
2006), has been amended by deleting the number "3750" and replacing it with the
number "248".

The Issuer also wishes to announce that the definition of "Make Whole Amount" in
Annex 1 to the Applicable Supplement in the Securities Note has been amended by
deleting the number "3750" and replacing it with the number "248".

The Issuer also wishes to announce that Paragraph (3) of the "Credit,
Commercial, Legal and Tax Considerations" section of the Securities Note has
been amended by deleting the two instances of "Siemens Finance B.V." and
replacing them by "France Telecom S.A".  These change are effective immediately.
