granted conditional share awards under The Go-Ahead Group Long Term
Incentive Plan 2015 ("LTIP") in accordance with the LTIP rules to

This LTIP award will be subject to recovery and withholding
provisions for three years following vesting and an additional
two year holding period following the vesting of awards will
also apply.
