Notification of Transactions in the
Company's Shares by Directors and Persons Discharging Managerial
Responsibility
The Company announces the following
transactions in the Company's common shares, Deferred Stock Units
and Stock Options undertaken by directors / persons discharging
managerial responsibility ("PDMRs").
Deferred Stock Units ("DSUs") and
Restricted Stock Units ("RSUs") have been granted to certain PDMRs
effective January 1, 2025 in accordance with the payment of
directors' fees for 2025. Each DSU
represents a contingent right to receive one share of the Company's
common stock. The DSUs vest in full on award and are paid out
at such time as the director ceases to be a member of the Board of
Directors of the Company.
Each RSU represents a contingent
right to receive one share of Gran Tierra Energy Inc. common stock.
RSUs will vest annually in equal increments over a three-year
period. Vested shares will be delivered to the reporting person
upon vesting.
The notification set out below is
provided in accordance with the requirement of Article 19 of the EU
Market Abuse Regulation.
