                            DIRECTORS' SHARE DEALINGS


Following institutional investor demand for the Company's shares, Julian
Ashby, Derek Joseph, Jeffrey Zitron, Peter Chapman and Richard Wollenberg (all
directors of HACAS Group plc) have agreed to sell 225,000 in aggregate in
order to meet this demand and to improve liquidity in the Company's shares.
These shares were sold on 11 January 2002 at a price of 110.25p each.


The interests of these directors in the share capital of the Company after
completion of these transactions is as follows:
