On 23 September 2013, Berjaya Philippines Inc. ("Berjaya") declared its offer 
for the Company unconditional in all respects. Following this announcement, 
awards to certain Directors and employees of the H.R. Owen Group under the H.R. 
Owen 2012 Long Term Incentive Plan ("LTIP") have vested. 
 
Details of the shares vesting under the LTIP by directors of the Company are 
set out below:

Both Joe Doyle and Mike Warren intend to accept the offer by Berjaya is respect 
of all of the shares issued to them, as they have already done so in respect of 
all of the shares already held by them. 
 
In total, 904,225 shares have vested under the LTIP. In relation to this, a 
listing application will be made for 904, 225 ordinary shares of 50p each 
("Ordinary Shares") in the Company to be admitted to the Official List of the 
UK Listing Authority and to trading on the London Stock Exchange. The shares 
will be issued fully paid and will rank pari passu in all respects with the 
existing issued Ordinary Shares of the Company save that they will not receive 
the interim dividend that is due to be paid to shareholders on 25 October 2013 
to shareholders that were on the register at the close of business on 27th 
September 2013. 
 
The Company advises that following the above issue of Ordinary Shares, its 
issued share capital now comprises 24,515,967 Ordinary Shares. The Company has 
no shares held in treasury.
