Grant of Long Term Incentive Plan Awards
Notification of Transactions by Executive Directors and Persons
Discharging Managerial Responsibilities ("PDMRs").
The Company announces that it was notified of the grant of the
LTIP Awards on 15 March 2017 to Directors and PDMRs in accordance
with the rules of the McColl's Retail Group plc Long Term Incentive
Plan (the "LTIP").
Director and PDMR Number of ordinary shares of GBP0.001 each ("Shares") over which LTIP Awards Call Price per share
were granted.

The awards are to be satisfied by newly issued shares. The
performance measurement period is from 28 November 2016 to 24
November 2019 and the awards will vest subject to the rules of the
LTIP and the Remuneration Committee's determination of the extent
to which the performance conditions applicable to the award have
been satisfied. Full details of these performance conditions are
set out in the Company's Directors' Remuneration Report for the
year ending 27 November 2016. Vested LTIP awards are exercisable
until the tenth anniversary of the grant date, subject to the
individual's ongoing employment. In addition, the awards are
subject to a further holding period of two years following
vesting.

596/2014.
