Notification of Dealings in the Company's shares by Persons Discharging 
Managerial Responsibility ("PDMRs"). 
 
The Company announces the following dealings by PDMRs in the Company's ordinary 
shares of 25p each ("Shares"). 
 
 
Performance Share Plan 
 
Following the vesting of awards under the Northern Foods plc Performance Share 
Plan as a result of the offer from BH Acquisitions Limited (the "Offer") 
becoming wholly unconditional, the following PDMRs received the following 
Shares in the Company on 7 April 2011:

In connection with the vesting of the above PSP awards, on 7 April 2011 the 
following PDMRs waived for nil-consideration their rights to receive Shares 
under the following options, granted under the Company's HMRC approved Share 
Option Plan as linked options to the PSP:
