                        OEM plc ("OEM" or "the Company")

The directors of OEM announce that they have discovered certain financial
irregularities, which they, in conjunction with the Company's advisers, are
investigating. Steps are being taken to identify the amounts involved and to
seek recovery of any sums due from the parties involved.

The directors believe that the amounts in question would be material to OEM, and
may affect the financial position of the Company. As a consequence the Company
is not in a position to publish its interim accounts at present.

A further announcement in respect of this matter will be made in due course.
