Technoplast Industries Ltd. (hereinafter: "the Company") has announced to the
Tel Aviv Stock Exchange and to the Israeli Securities Authority as an immediate
report, that the Company did not exercise its right to demand the return of the
Company's holdings in Smart Storage Ltd. by 15 July 2004 and therefore the sale
of the Company's holdings in Smart Storage Ltd. to T.Z. Sunshine Ltd. has been
finalized. As a part of the closing of the above transaction, the Company waived
its right to be released from its bank guarantee vis-a-vis a certain bank.
