the issued share capital of Worthington Group plc, the Company has received
further notification from the holders of substantial interests in the Company in
respect of the percentage change in their shareholding in Worthington Group plc.

Following the increase in the issued share capital of Worthington Group Plc on
26 October 1998 to 48,124,000 shares, the Company has received notification from
