EXPLANATORY NOTE

On January 26, 2023, American Software, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) disclosing the tax treatment of 2022 distributions to shareholders. This Current Report on Form 8-K/A amends the Original Report to provide an updated date on the Exhibit 99.1 from 2021 to 2022.
