Item 5.02. Departure of Directors or Certain Officers

 

On January 22, 2024 Elizabeth Levy-Navarro resigned from her position as a member of the Registrant’s Board of Directors. At the time of her resignation, Ms. Levy-Navarro was a member of the following committees of the Board of Directors: Audit Committee, Compensation Committee (Chair), and Nominating and Corporate Governance Committee.

 

Ms. Levy-Navarro did not attribute her resignation to any disagreement with management on any matter relating to the Registrant’s operations, policies or practices.
