regarding the proposed acquisition of the Company (the Merger) pursuant to the Agreement and Plan of Merger (the Merger Agreement) between the Company, Cisco Systems, Inc., a California corporation (Parent), and
Shasta Acquisition Corp., a Delaware corporation and a wholly-owned subsidiary of Parent (Merger Sub), is attached hereto as Exhibit 99.1 and incorporated by reference herein.
