On February 23, 2024, Stardust Power Inc., which is a party to a previously disclosed business combination, dated as of November 21, 2023, with Global Partner Acquisition Corp II, among other parties, posted a marketing video to its corporate website. The following is a transcript:

 

Stardust Power is developing one of, if not the largest American lithium refineries. Our strategy is unique that we’re creating a large, centrally located refinery, optimized for multiple sources of brine input.

 

The lithium sector has been growing substantially with an estimated 33% CAGR from 2020 to 2030. The overwhelming demand for battery grade lithium has created a market force in the sector.

 

China is a dominant player in the lithium space, up to 66% of the total market, but also up to 85% of refinery capacity.

 

Much of the raw material feedstocks comes from places like Africa, South America and Australia.

 

Rising geopolitical tensions make a dangerous play for the US to be dependent on Chinese products, especially in critical minerals and battery-grade lithium.

 

It is important for the United States to be an energy transition leader, to create a resilient American supply chain that can’t be threatened from foreign interests. Currently, there is little lithium manufacturing in America with up to 20,000 tonnes being produced domestically.

 

Stardust Power is developing the capacity to build up to 50,000 tonnes per annum of battery grade lithium products.

 

We have secured 66 acres in the greater Tulsa area that has shown to be ideal for a lithium refinery. Also, in partnership with the state government, we’ve secured incentive packages to develop our facility there.

 

Another reason we like Oklahoma is strong connectivity. Being right in the center of the country, it has ideal logistics infrastructure, including connectivity to rail lines as well as highways.

 

We also have the advantage of being on the largest inland waterways system in the United States, helping our hub-and-spoke model.

 

Sustainability is built into every step of our process from the sustainable power we source to fuel our refinery operations, our facility is being engineered for low emissions to reduce its carbon footprint and limit any emissions into the air and atmosphere.

 

At Stardust power, our strategy is to aggregate lithium feedstock supply so we can scale faster and build more battery-grade lithium products. We continually seek to vertically integrate our process by developing assets upstream to expand our access to feedstock.

 

We have limited technology risk as our conversion process is based on proven and established technologies for chemical conversion into battery-grade.

 

We work with best-in-class partners on an EPCM model to further limit any technology risk.

 

At Stardust, we have an exceptional management team coupled with deep technical expertise in lithium and experience in finance.

 

Stardust Power has recently entered into a business combination agreement with Global Partners Acquisition Corporation II. In effect, this merger will result in Stardust Power being a public company on the NASDAQ with an implied enterprise value of up to $490 million. We’re excited to partner with GPAC II and its underlying owners — Antarctica Capital. Antarctica and GPAC provide value-add for the development of the company.

 

Antarctica Capital along with the financial sponsor of GPAC II is an investment firm that has a deep track record of adding value.

 

Through its merger, Stardust Power seeks to be listed on the NASDAQ in the first half of 2024 under the ticker symbol SDST.
