Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On December 8, 2023, we elected not to renew the employment agreement of Christopher Cano as our Chief Operating Officer and Business Director. Pursuant to the Amended and Restated Employment Agreement dated September 24, 2020, as further amended, between us and Mr. Cano, the present term of his employment expires on December 18, 2023, but automatically renews for successive one-year terms unless either party elects not to renew the agreement. Mr. Cano’s employment with us will terminate on December 18, 2023. We are discussing with Mr. Cano his provision of certain consulting services to us going forward.
