PART III — NARRATIVE

 

On April 24, 2018, the registrant replaced its incumbent certifying auditors and engaged WWC. P.C. Certified Public Accountants (“ WWC ”) as its new independent registered public accounting firm. As a result of this transition to new auditors, the registrant has not been able to finalize its financial statements and complete and timely file by the due date its Form 20-F for the fiscal year ended December 31, 2017. The registrant is currently working to complete it financial statements and submit the Form 20-F to its new certifying auditors for their requisite review. The registrant anticipates that it will be able to complete and file the Form 20-F report within the prescribed extension period.
