In accordance with the interpretive letter from SEC to Bank of America Merrill Lynch dated 12.11.11, Advance Magazine Publishers Inc. (AMPI) entered into a credit facility backed by costless Share Collar Transactions (Transactions) with an unaffiliated dealer, pursuant to which AMPI wrote European call options and purchased European put options over 10,000,000 shares of Class A common stock of Issuer. Transactions will be settled in cash unless AMPI elects physical settlement in which case Class B common stock will be converted for Class A common stock to settle its obligations. AMPI has not, and is not, selling any shares in Issuer as part of entering into the Transactions or otherwise, and intends to remain a long-term stockholder of Issuer. This filing relates to hedging activity in connection with the Transactions which will be conducted by the broker named above, an affiliate of such dealer.
