On 23rd December 2003, the Cox Qualifying Share Ownership Trust ("the QUEST")
transferred 18,218 shares in connection with the exercise of options granted
under the terms of the Cox Insurance Holdings Plc SAYE Share Option Scheme. This
reduces the QUEST's shareholding to 864,363 shares, representing 0.28% of the
Company's issued share capital.

Messrs P E Owen, J Morley and N A Utley ("the executive directors") being
employees of the Company are included as potential beneficiaries under the
QUEST.
