an amended option agreement, dated January 22, 2009. The amendment relates
to the Aldermac property located in the Beauchastel Township, Quebec (the

Under the terms of the amended agreement, the Company's obligations to pay
the vendors $150,000 in cash and issue an additional $150,000 in shares on
each of the second, third and fourth anniversaries of the original
February 1, 2007 agreement have been delayed by one year. The Company's
option on the Property has also been extended by one year. The Company
will also issue to the vendors a total of 375,000 class B shares 75,000
common share purchase warrants, each entitling the holder to subscribe for
one common share at a price of $0.20 during the 24 months following the
date of the amendment.

convertible debenture (the "Debenture") between Mooncor Oil & Gas Corp.
(the "Company") and East Coast Energy Inc. ("ECE"), a private company.
Pursuant to the Agreement, the Company shall subscribe for a 12% $325,000
secured Debenture in ECE and acquire a 2% gross overriding royalty ("GOR")
in the production from ECE's Stellarton property located in Nova Scotia.
At the option of the Company, the Debenture may be convertible into units
in the capital of ECE at a price of $0.18 per unit within two years from
the date of closing. Each unit consists of one ECE share and one share
purchase warrant. Each warrant is exercisable into one common share of ECE
at a price of $0.25 per share at the earlier of (i) January 30, 2012, and
(ii) January 29, 2011, in the event the shares of ECE are publicly listed
on or before January 29, 2011.
Within three years from transaction's closing, the Company has granted ECE
the option to purchase 50% of the GOR for $500,000.
