Merion, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2022 (the “Quarterly Report”) within the prescribed time period without unreasonable effort or expense because additional time is required to complete the preparation of the Company's financial statements in time for filing. The Company anticipates filing the Quarterly Report on or before the fifth calendar day following the prescribed due date.

Part IV. (3) Anticipated Changes in Results of Operations
We anticipate reporting the following significant changes in the results of operations from the same period of the last fiscal year:
Total sales decreased by approximately $289,000 or 66.5%, from approximately $435,000 in the three months ended March 31, 2021 to approximately $146,000 in the three months ended March 31, 2022.
The cost of sales decreased by approximately $176,000, or 73.9%, from approximately $238,000 in the three months ended March 31, 2021 to approximately $62,000 in the three months ended March 31, 2022.
Our overall gross margin percentage increased from a gross margin approximately 45.4% in the three months ended March 31, 2021 to a gross margin of approximately 57.5% in the three months ended March 31, 2022.
Selling expenses decreased from approximately $46,000 in the three months ended March 31, 2021 to approximately $3,600 in the three months ended March 31, 2022.
General and administrative expenses decreased by approximately $50,000 from approximately $367,000 in the three months ended March 31, 2021 to approximately $317,000 in the three months ended March 31, 2022
Net loss decreased by approximately $62,000 from approximately $298,000 in the three months ended March 31, 2021 to approximately $235,000 in the three months ended March 31, 2022.
