EXPLANATORY NOTE

Pursuant to General Instruction E of Form S-8, Local Bounti Corporation (the “Registrant”) is filing this Registration Statement on Form S-8 (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”) to register an additional 510,000 shares of Common Stock, par value $0.0001 per share (the “Common Stock”), under the Local Bounti Corporation Amended and Restated 2021 Equity Incentive Plan.
