Swan Housing Capital plc - GBP250,000,000 3.625 per cent. Secured Bonds due 2048

On 5 March 2015, Swan Housing Capital plc (the Issuer) issued GBP250,000,000 3.625 per cent. Secured Bonds due 2048 (the Bonds) and on-lent the proceeds of the Bonds to Swan Housing Association Limited (Swan) pursuant to a bond loan agreement dated 5 March 2015 (as amended or supplemented from time to time, the Bond Loan Agreement).

The terms of the Bond Loan Agreement include a requirement for Swan to provide to the Issuer and to M&G Trustee Company Limited (the Security Trustee) a copy of its audited financial statements within 180 days of the end of its financial year.

The Issuer announces that Swan will be unable to publish its audited financial statements for the financial year ended 31 March 2023 (the 2023 Financial Statements) on 27 September 2023.

The Issuer and Swan have obtained consent from the Security Trustee under the Bond Loan Agreement for an extension of the requirement to publish the 2023 Financial Statements by no later than 31 October 2023.
