("8PG" or the "Company")
Director Subscription
Further to its previous announcement of 20 December 2018, 8PG is
pleased to confirm that Zafar Karim, Executive Chairman of the
Company, and Lord Nicholas Monson, Non-Executive Director of the
Company, have now subscribed for a total of 1,000,000 and 700,000
new ordinary shares of 0.1 pence each in the Company ("Ordinary
Shares"), respectively, at a price of 10 pence per share.
Following the issue of these Ordinary Shares, Zafar Karim and
Lord Nicholas Monson, will have beneficial interests in 1,412,861
and 720,000 Ordinary Shares, respectively, representing
approximately 7.9% and 4.0%, respectively, of the enlarged Ordinary
Share capital of the Company.
Settlement and Dealings
Application has been made for the 1,700,000 new Ordinary Shares
to be issued under the Placing, which will rank pari passu with the
existing Ordinary Shares in the Company, to be admitted to trading
on AIM ("Admission"). It is expected that Admission will become
effective and dealings will commence on or around 8:00a.m. on or
around 3 January 2019.
Total Voting Rights
Following Admission, the issued share capital of the Company
would consist of 17,988,255 Ordinary Shares. No shares are held in
treasury at the date of this announcement. The total current voting
rights in the Company will therefore be 17,988,255.
This figure of 17,988,255 Ordinary Shares may be used by
shareholders in the Company as the denominator for the calculations
by which they will determine if they are required to notify their
interest in, or a change in their interest in, the share capital of
the Company under the FCA's Disclosure Guidance and Transparency
Rules.

requirements of the EU Market Abuse Directive, provide further
information.
