LETTER TO: COMPANY ANNOUNCEMENTS OFFICE

I write to advise you of a transaction which has very recently come to the
writer's notice and which I think should have been notified to you at the time
of that transaction.

Wittington Properties Limited of Canada, a company associated with one of our
non-executive Directors, Mr W.G. Galen Weston, sold 1,800,000 Associated British
Foods shares on the market in June 1996.  Unfortunately, this transaction was
not notified to you at that time.  However, the transaction was, in effect,
reported in our Annual Accounts as at September 1996, when an appropriate
reduction in Mr W.G. Galen Weston's shareholding was reflected, as compared
with that shown in our September 1995 Annual Accounts.

I must apologise for the omission to report the sale in June 1996, but I hope
that you feel you are able to agree with me that no adverse effect on the market
has occurred as a result of that omission.
