                               SFO Investigation



Yesterday Goldshield made an announcement confirming that the Company's premises
and the residence of its Executive Chairman, Ajit Patel, had been visited by
representatives of the Serious Fraud Office ("SFO").  A press statement issued
by the SFO on 10 April 2002 stated that its operations formed part of an
investigation into a suspected conspiracy to defraud the National Health Service
("NHS") involving the prices charged by suppliers for penicillin based
antibiotics and warfarin between 1st January 1996 and 31st December 2000.

Following its becoming aware of the SFO investigations, Goldshield requested a
temporary suspension in dealings in its shares.

Goldshield has provided its full support and co-operation to the SFO and its
investigators and does not believe that it has acted in an unlawful or improper
manner.  In particular, it does not believe that it has at any time conspired to
defraud the NHS.



Goldshield sells prescription pharmaceuticals and other non-prescription
medicines through its Pharmaceuticals Division and a range of vitamins,
minerals, supplements and a wide range of other healthcare products through its
Healthcare Division.  The Company has never sold any penicilin based
antibiotics.  During the period under investigation Goldshield's Pharmaceutical
Division made total sales to the NHS of approximately £6.9 million of
warfarin-based pharmaceuticals representing 3.7% of the Goldshield Group's total
turnover of approximately £185 million during this period (based on the
Company's internal financial records).



The Company takes any suggestion of impropriety extremely seriously and will
continue to provide all necessary assistance to the SFO in their enquiries.



The Company is seeking an immediate re-listing of its shares with effect from 12
April 2002.
