Result of General Meeting
Marlowe plc ("Marlowe" or the "Company"), the specialist
services group focused on developing companies which assure safety
and regulatory compliance, is pleased to confirm that, at the
General Meeting held today, all resolutions proposed were duly
passed.
Accordingly, further to the Results of the Placing announcement
dated 22 May 2019, the Company confirms that, subject to among
other matters admission becoming effective, it will on 11 June 2019
issue and allot 1,576,677 new ordinary shares of 50 pence each
("New Ordinary Shares") at a price of 426 pence per share pursuant
to the Second Placing. The New Ordinary Shares will represent
approximately 3.4 per cent. of the Company's enlarged ordinary
share capital.
Further details of the Acquisition and the Placing can be found
in the announcement dated 21 May 2019 and the circular posted to
shareholders on 22 May 2019. Other than where defined, capitalised
terms used in this announcement have the meanings given to them in
the announcement dated 21 May 2019.
Total Voting Rights
Following admission of the New Ordinary Shares, the Company's
issued ordinary share capital will comprise 45,869,081 ordinary
shares, none of which are held in treasury. Therefore, the total
number of ordinary shares with voting rights in Marlowe following
admission will be 45,869,081.
The above figure of 45,869,081 may be used by shareholders as
the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to
their interest in the Company under the FCA's Disclosure Guidance
and Transparency Rules.
