RWS Holdings plc (the "Company") announces that it has been notified of the following transaction in the Company's Ordinary shares of 1p undertaken by a director / person discharging managerial responsibility:

- Transfer by Reinhard Ottway (Chief Executive Officer) of 110,000 ordinary 1p shares to a closely associated person on 10 February 2017, for nil consideration.
