Option Scheme & Company Share Option Plan:
o The 'Less' figure has been changed from 31,709 to 33,271.
o The 'Equals' figure has been changed from 46,151 to
44,589.
-- With regard to the St. James's Place plc Partners' Share Option Scheme:
o The 'Less' figure has been changed from 2,927,346 to
2,926,286.
o The 'Equals' figure has been changed from 465,082 to
466,142.
-- With regard to the St. James's Place plc Share Save Option Plan:
o The 'Less' figure has been changed from 47,548 to 47,810.
o The 'Equals' figure has been changed from 10,576 to
