TRANSACTIONS IN OWN SECURITIES

Vodafone Group Plc ("Vodafone") announces today that it has
purchased the following number of its ordinary shares of
20
US cents each
from Morgan Stanley & Co. International Plc. Such purchase was
effected pursuant to instructions issued by Vodafone on 15 May
2024, as announced on 15 May 2024 (the "Programme"):

Vodafone intends to hold the purchased shares
in treasury. Following the purchase of these shares, Vodafone holds
1,065,395,721 of its ordinary shares in treasury and has
26,602,549,096 ordinary shares in issue (excluding treasury
shares).
As part of the Programme, Morgan Stanley &
Co. International Plc. purchases Vodafone (213800TB53ELEUKM7Q61)
ordinary shares and sells such shares to Vodafone. In connection
with the above purchases, on 31 July 2024 Morgan Stanley & Co.
International Plc. (as riskless principal) elected to purchase
10,000 Vodafone ordinary shares to sell to Vodafone. A schedule of
individual trades carried out by Morgan Stanley & Co.
International Plc. on 31 July 2024 is set out below.
